프랜차이즈 가맹점주의 노조법상 근로자성

프랜차이즈 관계에서 가맹본부와 가맹점주는 각각 별개의 독립된 사업자로 평가되고 있다. 즉 현행 상법, 가맹사업법 등에 따르면, 가맹점주는 가맹본부와 독립하여 자기의 명의와 계산으로 영업하는 ‘독립적 상인’ 내지 ‘독립사업자’이다. 이와 같은 법적・형식적인 독립성으로 인해 가맹점주는 흔히 가맹본부의 ‘사업파트너’ 내지 ‘사장님’으로 인식되고 있다. 그런데 프랜차이즈 가맹점주는 실제 독립적 상인 내지 독립사업자로서 ‘진짜 사장님’인가? 프랜차이즈 관계에서의 ‘힘의 불균형’이나 ‘가맹점주의 종속성’ 문제는 독립사업자들 사이에서 ‘자유로운 경쟁’과 ‘공정한 거래’를 추구하는 경제법상의 규제로 충분히 극복할 수 있는가? 프랜차이즈 관계가 경제법적 규율을 넘어 노동법적 규율 안으로 들어올 여지는 없는가? 이 글은 위와 같은 문제의식에서 출발하여 프랜차이즈 관계에 대한 노동법적 규율 가능성, 그 중에서도 노조법의 적용가능성에 대해 살펴본다. 즉 가맹본부의 표준화 시스템 등에 따라 가맹점 운영 업무를 수행하는 프랜차이즈 가맹점주가 노조법상의 근로자로 인정될 수 있을지 – ‘프랜차이즈 가맹점주의 노조법상 근로자성’을 검토한다. 이를 위해 우선 현행 가맹사업법에서 ‘집단적 자치’의 일환으로 도입한 가맹점주단체에 관한 사항을 그 구체적 내용과 한계를 중심으로 살펴본다. 다음으로 노조법상 근로자에 대해 우리 노조법과 유사한 정의 규정을 두고 있는 일본에서 노조법상 근로자를 어떻게 판단하고 있는지, 가맹점주(편의점주)의 노조법상 근로자성이 다투어진 최근 노동위원회의 사례에서 그 결론과 근거는 어떠했는지 등을 검토해 본다. 마지막으로, ‘프랜차이즈 가맹점주가 우리 노조법상의 근로자로 인정될 수 있을지’ 여부를 최근 대법원이 제시한 새로운 노조법상의 근로자성 판단기준에 비추어 심도 있게 고민해본다.

Can a franchisee be an employee in Trade Union and Labor Relations Adjustment Act?

In a franchise relationship, franchisor and franchisees are considered independent entrepreneurs. According to the Fair Transactions in Franchise Business Act, the franchisee is an independent business owner who runs the business independently. By the way, is the franchisee really an independent entrepreneur? Can the problem of ‘power imbalance’ in franchise relations be sufficiently improved by regulations in economic law that seek ‘free competition’ and ‘fair trade’ among independent entrepreneurs? Can't franchise relations go beyond the area of economic law and come within the area of labor law? This article begins with the above question and examines the applicability of the Trade Union and Labor Relations Adjustment Act to franchise relations. In other words, consider whether the franchisee is an employee in Trade Union and Labor Relations Adjustment Act. First of all, this article examines matters concerning franchisees association in Fair Transactions in Franchise Business Act. Next, this article examines how Japan judges employee under the Labor Union Act and what the conclusions and grounds were in the recent case of the Labor Relations Commission, which questioned whether the franchisee is an employee in the Labor Union law. Finally, this article considers specifically whether franchisee can be recognized as an employee in our Trade Union and Labor Relations Adjustment Act in accordance with the new ‘employee judgement standards’ recently proposed by the Supreme Court.
