ESG 실천 도구로서의 OECD 다국적기업 가이드라인
기업들은 개인들의 인권의 실현에 거대한 영향을 미칠 수 있으며, 때로는 인 권을 보호할 의무를 가진 국가와 같은 정도까지 영향을 미칠 수 있고, 결과적으 로 기업 책임은 NGO, 언론, 학계의 주목을 받고 있다. 2021년 작년부터 많은 기 업들이 큰 관심을 표명하면서 최대 화두로 부상한 키워드가 다름 아닌 ESG인 것은 이와 같은 현실을 잘 반영하고 있다고 보인다. ESG는 이제 기업의 자선적, 윤리적인 측면을 벗어나 미국, 영국, 프랑스, 독일, 네덜란드 등 여러 국가에서 국내법으로 법제화되고 있으며, EU에서는 최근 기업 실사와 기업의 책임에 관한 지침 초안을 채택하기에 이르렀다. 본 연구는 이와 같은 법제화 흐름을 소개한 후, 이들의 내용과 많은 부분이 유사하지만 법 이외의 접근방식을 취하고 있는 OECD 다국적기업 가이드라인에 관해 살펴본다. OECD 다국적기업 가이드라인 은 이러한 ESG의 내용을 자세하게 다루고 있는 국제문서로 법적 구속력은 없지만, 구체적 사안이라고 불리는 독특한 절차를 가지고 있다는 점에서 ESG 실천 에 있어 매우 유용한 도구가 될 수 있을 것이다. 그리고 OECD 가이드라인의 구 체적 사안 절차를 중심으로 자세하게 알아보며, 이들을 둘러싼 몇 가지 이슈를 다루어본다. 마지막으로 ESG의 올바른 실천을 위해 OECD 다국적기업 가이드라 인을 어떻게 적용할지, 그리고 이를 위해 무엇이 더욱 필요한지에 관해 제언하며 마무리한다.
OECD Guidelines for Multinational Enterprises as a tool for ESG practice
Corporations can have an enormous impact on the realization of an individual's human rights, sometimes to the same extent as the states that are obliged to protect those rights. As a result, corporate responsibility has garnered increased attention from the NGO, media and academic communities. The fact that ESG is the keyword that has emerged as the biggest topic as many companies have expressed great interest from 2021 seems to reflect such a reality well. ESG is not limited to philanthropy or ethics, but is being enacted in domestic laws in several countries, including the United States, United Kingdom, France, Germany, and the Netherlands. Recently, European Parliament adopted a draft directive on Corporate Due Diligence and Corporate Accountability. After introducing the trend of legislation, this study examines the OECD Guidelines for Multinational Enterprises, which are similar in many parts to their content but take an approach other than the law. The OECD Guidelines for Multinational Enterprises are an international instrument dealing with ESG in detail, and although not legally binding, it can be a very useful tool in ESG practice in that it has a unique procedure called a specific instance. And this study also examines OECD Guidelines for Multinational Enterprises by focusing on the procedures of specific instance. Finally, it concludes by suggesting how to apply the OECD Guidelines for Multinational Enterprises for proper implementation of ESG and what more is needed for this.
